Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and HostMoat LLC ("HostMoat," "we," "us," or "our"). They govern your access to and use of HostMoat's websites, applications, software, public pages, and related services (collectively, the "Service").
1. Acceptance and Eligibility
By affirmatively accepting these Terms or accessing or using the Service, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Service.
You must be at least 18 years old and legally capable of entering a contract. You represent that you use the Service for business or commercial purposes related to a rental property and, if you act for a company, owner, or other organization, that you have authority to bind it. The words "you" and "your" include that organization.
2. The Service and HostMoat's Role
HostMoat provides software for managing vacation-rental calendars, bookings, guest information, messages, direct-booking pages, payments, contracts, financial records, tax-oriented reports, pricing information, staff workflows, smart devices, and related operations.
HostMoat is a software provider. We are not a property owner, property manager, real-estate broker, travel agent, insurer, tax preparer, accounting firm, law firm, employer, merchant of record for your guest transactions, or party to any agreement between you and a guest, owner, vendor, worker, or other third party. You remain the provider of the rental accommodation and services you offer.
3. Accounts and Authorized Users
You must provide accurate account information, keep your sign-in methods and links secure, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account and for people you invite as owners, managers, viewers, staff, or contractors. You must assign appropriate permissions and remove access when it is no longer needed.
You may not share an account in a way that defeats access controls, impersonate another person, or use another user's credentials. Demo, trial, complimentary, and support access may be limited or withdrawn at any time.
4. Plans, Trials, Billing, and Taxes
HostMoat offers free and paid plans. Paid subscriptions renew automatically at the selected billing interval until canceled. You authorize HostMoat and Stripe to charge the payment method associated with your subscription. You may cancel through account settings or the Stripe billing portal; cancellation takes effect at the end of the current paid period unless applicable law requires otherwise.
Trial access does not start paid billing unless you separately choose a paid plan and authorize payment. When a trial ends without a paid subscription, the account may move to the then-current free plan and paid features may become unavailable.
Fees are non-refundable except where required by law or expressly stated at purchase. We may change future pricing or plan features with at least 30 days' notice to affected paid subscribers. You are responsible for taxes imposed on your purchase or business, other than taxes measured by HostMoat's net income.
5. Your Data and Content
You retain ownership of property information, photos, descriptions, guest and booking records, messages, financial data, contracts, templates, and other content you submit to the Service ("User Content"). You grant HostMoat a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, display, format, and otherwise use User Content only as needed to provide, secure, support, and improve the Service and as you direct through public pages and integrations.
You represent that you have all rights and permissions needed for User Content and our processing of it. You are responsible for its accuracy, legality, backups, and the disclosures and consents required to collect, store, send, publish, or otherwise use personal information, photos, communications, contracts, reviews, and other material.
6. Rentals, Guests, and Legal Compliance
You are solely responsible for your properties and rental business, including availability, pricing, descriptions, taxes, permits, licenses, safety, accessibility, habitability, insurance, house rules, security deposits, cancellations, refunds, chargebacks, guest screening, identity verification, emergency response, and compliance with platform rules and applicable laws.
Agreements and templates supplied through HostMoat are operational starting points, not legal advice. You must review them for your property and jurisdiction. Electronic signatures, required acknowledgements, and stored artifacts do not guarantee that an agreement is valid or enforceable in every jurisdiction.
7. Direct Bookings and Payments
When you publish a booking site, accept an inquiry, confirm a reservation, send an invoice, collect a card authorization, issue a refund, or charge a saved payment method, you act on your own behalf. You determine the offer, price, taxes, policies, fulfillment, and refund obligations. You are responsible for disputes with guests.
Stripe processes subscription and guest payments under its own agreements. Guest payments are created on your connected Stripe account where supported. HostMoat does not guarantee authorization, settlement, payout timing, reversibility, fraud detection, chargeback outcomes, or the availability of any payment method. You are responsible for your Stripe account, processing fees, negative balances, disputes, and compliance obligations.
8. Calendars and Third-Party Services
Calendar data and other information imported from Airbnb, Vrbo, Booking.com, email, iCal, banks, payment processors, market-data providers, or other services may be delayed, incomplete, duplicated, unavailable, or inaccurate. Sync intervals create an unavoidable window in which another platform may accept a conflicting booking. You must independently monitor source platforms and must not use HostMoat as your only safeguard against double bookings.
The Service may depend on or link to third-party services including Stripe, Plaid, Seam, Supabase, Cloudflare, Resend, Google, booking platforms, data providers, and AI providers. Their terms, privacy practices, fees, limits, changes, and availability govern your use of them. HostMoat is not responsible for third-party acts, data, systems, or outages.
9. Calculations, Reports, Pricing, and No Professional Advice
Financial summaries, profitability results, currency displays, transaction classifications, tax categories, Schedule E exports, depreciation estimates, occupancy metrics, market comparisons, demand scores, recommended rates, and other calculations are informational tools. They may contain errors caused by User Content, assumptions, rounding, timing, software defects, data mapping, currency handling, or third-party sources.
HostMoat does not provide tax, accounting, legal, investment, insurance, or financial advice. You must review source records, classifications, calculations, filings, contracts, prices, and business decisions with qualified professionals where appropriate. You remain responsible for every tax return, deduction, price, financial entry, and operational decision.
10. Automation and Artificial Intelligence Features
Automated messages, calendar actions, pricing actions, invoices, contracts, refunds, alerts, reports, and other workflows depend on your configuration and available data. You must test settings, maintain accurate inputs, monitor results, and keep a manual fallback for time-sensitive or safety-critical work.
AI-generated drafts and automatic public-chat responses may be incomplete, incorrect, outdated, or inappropriate. Inbox drafts require your review before sending. If you enable automatic public chat, you authorize HostMoat to respond to visitors using the public information and settings you provide. You must not provide AI features with credentials, access codes, sensitive personal information, or material that a recipient is not authorized to receive.
11. Smart Devices and Physical Safety
Smart-lock codes, access grants, noise data, device status, alerts, and controls rely on third-party hardware, internet access, power, and integrations. The Service is not a monitored security system, emergency service, fire or life-safety system, or substitute for physical inspection. You must maintain safe backup access, manufacturer-supported controls, emergency procedures, and a way to respond if an automation or device fails.
12. Communications
When you use HostMoat to send email, forms, review requests, marketing messages, contracts, invoices, or other communications, you are the sender and are responsible for the content, recipient list, consent, timing, opt-out handling, and compliance with anti-spam, privacy, telemarketing, platform, and consumer-protection laws. You may not use the Service for unsolicited, deceptive, unlawful, or abusive communications.
13. Acceptable Use
You may not:
- Use the Service or User Content unlawfully, fraudulently, or to harm others
- Access another account or data without authorization
- Upload malware or interfere with the Service, its security, or its infrastructure
- Probe, scrape, overload, or reverse engineer the Service except where law expressly permits
- Use the Service to infringe intellectual-property, privacy, publicity, or other rights
- Resell, sublicense, or provide service-bureau access without written authorization
- Use generated output or public features to mislead guests or falsely imply HostMoat operates or endorses your property
14. HostMoat Intellectual Property
The Service, including its software, design, documentation, branding, and non-user datasets, is owned by HostMoat or its licensors and protected by law. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Service during your account term. No rights are granted except as expressly stated.
If you provide feedback, you grant us a perpetual, worldwide, royalty-free right to use it without restriction or compensation, provided we do not identify you publicly without permission.
15. Service Changes, Beta Features, and Availability
We may add, change, suspend, or discontinue features, integrations, limits, or public pages. We do not guarantee uninterrupted, timely, secure, or error-free operation. Maintenance, incidents, abuse prevention, provider changes, or events outside our control may affect availability. Preview, beta, experimental, or demo features may be changed or removed and should not be used for critical operations.
16. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." HOSTMOAT DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, SECURITY, AND RESULTS.
We do not warrant that data, outputs, integrations, communications, automations, devices, or errors will be accurate, complete, current, delivered, corrected, or free from loss or unauthorized access. Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.
17. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, HOSTMOAT AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, BOOKINGS, BUSINESS, GOODWILL, OR DATA; SUBSTITUTE-SERVICE COSTS; OR LOSSES ARISING FROM RENTAL DISPUTES, THIRD-PARTY SERVICES, SECURITY INCIDENTS, PAYMENT EVENTS, AUTOMATION, SMART DEVICES, OR RELIANCE ON SERVICE OUTPUTS, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.
HOSTMOAT'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID HOSTMOAT FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US$100.
These limitations apply across all claims and theories of liability and reflect the allocation of risk underlying the Service and its pricing. They do not limit liability that cannot legally be limited or excluded. Your payment obligations and indemnification obligations are not limited by this section.
18. Indemnification
You will defend, indemnify, and hold harmless HostMoat and its owners, officers, employees, contractors, licensors, and affiliates from third-party claims, damages, judgments, losses, liabilities, and reasonable legal fees arising from: (a) your property, rental, guest, owner, vendor, worker, or payment transaction; (b) User Content; (c) your communications, prices, taxes, contracts, policies, or legal violations; (d) activity by people using your account; or (e) your misuse of the Service or breach of these Terms.
HostMoat will promptly notify you of a covered claim and may control its defense with counsel of our choice. You may not settle a claim in a way that admits fault by or imposes obligations on HostMoat without our written consent. This section does not require you to indemnify HostMoat to the extent a claim results from HostMoat's gross negligence, willful misconduct, or violation of law.
19. Suspension, Termination, and Data
You may stop using the Service or delete your account at any time. We may restrict, suspend, or terminate access if you violate these Terms, create legal or security risk, fail to pay, abuse the Service, or if continued operation is no longer commercially reasonable. Where practical, we will provide notice and an opportunity to export data.
You should maintain your own exports and records. After termination or deletion, data is handled under the Privacy Policy and our retention obligations. Features may become read-only or unavailable after a downgrade. Sections that by their nature should survive—including ownership, disclaimers, liability limits, indemnification, disputes, and payment obligations—survive termination.
20. Force Majeure
HostMoat is not responsible for delay or failure caused by events beyond our reasonable control, including natural disasters, severe weather, epidemics, war, terrorism, civil unrest, government action, labor disputes, utility or telecommunications failures, cyberattacks, or failures of hosting, cloud, payment, data, AI, or integration providers.
21. Changes to These Terms
We may update these Terms. We will provide reasonable notice of material changes by email, an in-product notice, or another appropriate method. We may require you to affirmatively accept a new version before continuing to use the Service. Changes apply prospectively from their stated effective date unless law requires otherwise.
22. Governing Law and Venue
These Terms and disputes arising from them or the Service are governed by the laws of the State of Colorado, without regard to conflict-of-law rules, except where federal law applies or applicable law does not permit this choice. You and HostMoat consent to exclusive jurisdiction and venue in the state and federal courts located in Colorado, subject to any non-waivable right to bring a claim elsewhere.
23. General Terms
These Terms and the Privacy Policy form the entire agreement about the Service and supersede prior discussions on that subject. If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remainder will continue. Failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; HostMoat may assign them as part of a merger, financing, reorganization, asset transfer, or sale of the Service. Headings are for convenience only. Electronic notices and records satisfy written-notice requirements to the extent permitted by law.
